Jim Markowski has over thirty years of deep and varied experience practicing law. His nearly twenty years of litigation experience provides a unique perspective when negotiating and advising on contracts and transactions, particularly with regard to complex technology and real estate agreements.
As the general counsel of the Financial Services Business Unit of a global technology consulting firm, Jim amassed extensive experience drafting and negotiating a full range of technology-related agreements, including managed services and outsourcing agreements; master services agreements; software, hardware and patent licenses; custom software development agreements; enterprise systems integration agreements; joint development, joint venture and alliance agreements; and reseller agreements.
Jim’s practice also covers the construction industry, addressing construction contract issues, advising on rights and enforceability of construction contract terms, negotiating construction contracts, and advising on project labor agreements. Jim also represents private equity investors in connection with the acquisition and disposition of interests in portfolio companies, conducting due diligence, forming entities, drafting and negotiating various agreements, providing general legal support to portfolio companies, e.g., employment and non-compete agreements, commercial leases, and advising on compliance matters such as establishing Foreign Corrupt Practices Act and UK Bribery Act compliance programs.
